• Conducted a TAA compliance analysis of the manufacturing process of an Israeli medical device company who was a subcontractor to a large federal prime contractor and whose product creation spanned from Hong Kong to Mexico. Identified necessary changes and recommended adjustments.

 

• Long-time counsel for one of the leading suppliers of AV furniture to the U.S. military advising on compliance and litigating bid protests and suspension and debarment actions. Served as the government contracts expert for trial counsel in defense of an FCA lawsuit.

•  Counsel for the only contractor awarded a blanket purchase agreement from the State of Texas for KN95 masks. Negotiated and protected client in $100M+ product purchase deals with vendors and capital providers. Prevented litigation against client in all but one instance. Litigated the single breach of contract dispute in federal court between client and a supplier and obtained a $3M+ judgment.

•  Government contracts counsel for emerging tech company awarded millions of dollars in federal funds from the Department of Defense and NASA under the SBIR program, traditional procurements, and other transaction agreements. Advised outside general counsel and company executives on aspects of conformity with the government contracts, including data rights, markings, subcontracting, hiring foreign nationals, and preparing internal compliance documents and protocols. Successfully guided the company through a pre-litigation dispute with the government under the terms of an other transaction agreement regarding the sharing of confidential information. Worked with outside commercial contracts counsel on the procurement regulation impacts of preparing and negotiating subcontract agreements under the prime contracts.

•  Represented parts distributor and manufacturer in a contract dispute with a buyer who held a prime contract with the federal government. Litigated to the eve of trial in state court and ultimately pushed the defendant into involuntary bankruptcy.

•  Served as lead counsel for a consortium of energy companies awarded a large cooperative agreement. Advised the President and COO as well as the Board of Directors on compliance, performance, and close-out. In addition to basic public contract law matters, counseled client on IP, technical data, and tangible property rights, SCA and Davis-Bacon applications, and cost principles. Drafted and negotiated multiple teaming agreements, cost sharing agreements, subawards, and vendor contracts, crafted and implemented vendor procurement procedures, and assisted with management of real property.

•  Counsel for construction company in breach of contract, Texas Construction Trust Fund Act, Miller Act, and fraud litigation derived from procurement regulations governing limitations on subcontracting regulations. Multiple forum proceeding (arbitration, federal and state courts, appellate court). Also serve as counsel for this company in a related breach of indemnity agreement litigation with its surety and a debarment proceeding. Advise on terms and conditions of agreements in which this company acts as a subcontractor or is the prime contractor on government projects. Perform risk/benefit analyses on disputes pre-litigation. Draft and review subcontracting agreements and generally serve as government contracts litigation counsel.

•  Guided executives and contracts manager at large predictive analytics company on organizational conflicts of interest created by a subcontract on a DOD weapons system contract. Defined OCI’s to the client and provided a written analysis of its OCI issues with recommendations on how to mitigate and proceed for each scenario and created an accepted mitigation plan.
